Coaching Terms of Service
1. Company and Contact Information
Barrett Calisthenics LLC ("Barrett Calisthenics," "Company," "we," "us," or "our") provides remote fitness and calisthenics coaching services.
Contact: [email protected] · 801-391-9937
2. Acceptance of These Terms
By completing checkout, submitting payment, electronically agreeing to these Terms, or otherwise beginning participation in the Services, you enter into a legally binding agreement with Barrett Calisthenics LLC.
Your electronic acceptance may be recorded together with the version of these Terms presented to you, your name, email address, transaction information, timestamp, and other available transaction information.
If you do not agree with these Terms, do not purchase or use the Services.
3. Eligibility and Minor Clients
Clients are generally expected to be at least 18 years old.
Barrett Calisthenics may accept clients under 18 through a separate parent or legal guardian enrollment process. A minor may not independently complete the ordinary adult checkout process where the Company requires parental involvement.
For a minor client, the parent or legal guardian must complete any required enrollment, consent, payment, and authorization process and agrees to these Terms on behalf of the minor to the extent permitted by law.
The parent or legal guardian is responsible for supervising the minor's participation and determining whether the Services are appropriate for the minor.
4. Services
Services are remote and digitally delivered. Depending on the package purchased, Services may include:
- Personalized workout programming
- Program updates and adjustments
- Exercise demonstrations and educational resources
- Personalized form and technique review
- Weekly coaching/check-in calls, scheduled by the Client
- Direct messaging between the Client and coach
- General training, recovery, habit, and fitness guidance
- General educational nutrition and dietary guidance
- Access to a coaching application or software platform
- Access to a private community or communication platform, when offered
- Other services specifically described at or before checkout
Not every package includes every service listed above.
The specific Services provided are determined by the package purchased and the information presented before or at checkout.
Barrett Calisthenics may modify the software, community, scheduling, communication, or other technology platform used to deliver Services when reasonably necessary.
Unless expressly stated otherwise, the Services do not include in-person personal training, gym access, physical facilities, transportation, medical treatment, physical therapy, or medical supervision.
5. Coaching Calls and Communication
Where included, coaching/check-in calls may be scheduled by the Client. The standard structure may provide up to one coaching/check-in call per week, subject to scheduling availability. Clients may schedule calls less frequently by choice.
Clients may message the coach through the available messaging channel. Barrett Calisthenics does not guarantee a specific response time or response window, although the Company intends to communicate consistently and make reasonable efforts to respond.
The Services are not an emergency communication service.
6. Client Responsibilities
Clients agree to:
- Provide accurate information reasonably requested for coaching
- Complete onboarding requirements
- Communicate honestly about relevant training limitations and injuries
- Participate in the coaching process
- Submit requested check-ins or training videos when applicable
- Schedule and attend desired coaching calls
- Use reasonable judgment while exercising
- Stop or modify an activity when the Client believes continued participation is unsafe
- Seek appropriate professional medical care when necessary
Failure to participate, failure to complete workouts, failure to submit check-ins, failure to schedule calls, lack of time, or voluntary non-use of the Services does not create a right to a refund or cancellation of a payment obligation, except where required by applicable law.
7. Health, Fitness, and Assumption of Risk
Calisthenics and strength training involve inherent risks, including falls, strains, sprains, joint or muscle injuries, tendon or ligament injuries, fractures, dislocations, head injuries, paralysis, cardiovascular events, disability, illness, and death. Advanced movements may involve elevated physical and technical risks.
The Client is responsible for determining whether participation is appropriate. Clients should consult a qualified physician or other appropriately licensed healthcare professional when appropriate, particularly when a medical condition, injury, medication, physical limitation, or other circumstance may affect exercise participation.
Clients should disclose relevant injuries or limitations that may reasonably affect participation.
Barrett Calisthenics LLC and its coach are not physicians, physical therapists, medical providers, or licensed healthcare professionals.
Coaching is educational fitness guidance and is not medical diagnosis, treatment, or physical therapy.
Nutrition guidance, when provided, is general educational guidance related to fitness goals. It is not medical nutrition therapy, diagnosis, treatment, or individualized care from a licensed dietitian or medical professional.
To the maximum extent permitted by law, the Client voluntarily assumes the risks associated with participation in the Services. Nothing in these Terms is intended to waive a right or liability that cannot legally be waived.
8. No Guarantee of Results
Barrett Calisthenics will coach to the best of its ability but does not guarantee a specific physical, athletic, aesthetic, strength, body-composition, or health outcome.
Results depend on many factors, including consistency, training history, genetics, recovery, nutrition, health, adherence, equipment, and factors outside the Company's control.
The Client is purchasing coaching, programming, education, feedback, and related Services— not a guaranteed result.
Examples of results or transformations shown in Company marketing are individual experiences and should not be understood as guarantees that another Client will achieve the same result.
9. Fees and Payment
The Client agrees to pay the total price disclosed before purchase.
Prices may vary between Clients, packages, promotions, or circumstances. The price applicable to a Client will be disclosed before the Client completes the purchase.
Payment methods may include credit/debit cards, ACH or bank payment, third-party financing, buy-now-pay-later services, or other methods offered at checkout.
Third-party payment providers may have separate terms, eligibility requirements, financing agreements, fees, and policies.
10. Installment and Financing Arrangements
Where an installment arrangement is offered, the installment schedule is a payment method for the agreed purchase and is not a month-to-month cancellation arrangement unless the Purchase Details expressly state otherwise.
For example, if a Client purchases a six-month coaching package for a total purchase price of $1,200 and chooses six $200 payments, the total contractual purchase price remains $1,200.
The Client agrees to pay the full agreed purchase price according to the applicable payment schedule. Voluntary non-use of the Services does not, by itself, cancel an installment obligation, except where required by applicable law.
If an automatic payment fails, Barrett Calisthenics may, to the extent permitted by law, suspend or limit access, request an updated payment method, retry the payment through the applicable processor, terminate access, or pursue lawful collection of amounts remaining due.
11. Refunds and Cancellation
Except where a refund is required by applicable law or expressly agreed to in writing by Barrett Calisthenics, purchases are final and non-refundable once coaching onboarding has occurred or the Client has received access to personalized coaching Services, programming, resources, or other substantial components of the purchased Services.
Once onboarding has occurred, the Company may already have reserved coaching capacity, reviewed Client information, created individualized programming, provided access to resources or platforms, and performed other individualized work that cannot practically be returned.
Change of mind, lack of time, failure to participate, dissatisfaction with progress, relocation, scheduling difficulties, financial circumstances, or voluntary discontinuation do not by themselves create a right to a refund.
A Client may stop participating by notifying Barrett Calisthenics in writing. Stopping participation does not automatically cancel a payment obligation for a fixed-term purchase or installment agreement.
12. No Pause Policy
Unless expressly agreed otherwise in writing, coaching packages do not include an automatic right to pause, freeze, extend, or bank unused coaching time.
The Company may grant an exception in its discretion without creating an obligation to provide the same exception to another Client.
13. Payment Disputes and Chargebacks
Clients are encouraged to contact Barrett Calisthenics before initiating a payment dispute concerning the Services.
Clients must not knowingly submit false or misleading chargeback information.
Nothing in this section prohibits a Client from exercising a legal right to dispute a transaction.
In a dispute, the Company may provide relevant records to a payment processor, financial institution, arbitrator, court, or other authorized decision-maker, including the Terms, Purchase Details, checkout records, invoices, communications, coaching records, scheduling records, program-delivery records, access records, and relevant recordings.
14. Termination by the Company
Barrett Calisthenics may suspend or terminate access if a Client fails to pay; provides materially false information; engages in abusive, threatening, discriminatory, harassing, inappropriate, fraudulent, unlawful, or unsafe conduct; shares proprietary materials; seriously or repeatedly violates community rules; attempts to defraud the Company; or otherwise materially breaches these Terms.
Termination for Client breach does not automatically create a refund and does not necessarily eliminate amounts already incurred or agreed, subject to applicable law.
Barrett Calisthenics may also terminate a coaching relationship for legitimate business, safety, operational, or other lawful reasons.
15. Intellectual Property
Programming, educational materials, exercise demonstrations, videos, documents, systems, methods, graphics, recordings, templates, and other materials provided by the Company ("Company Materials") remain the property of Barrett Calisthenics LLC or its licensors.
The Client receives a limited, personal, non-exclusive, non-transferable license to use Company Materials for the Client's own personal fitness and coaching participation.
Unless expressly authorized in writing, the Client may not share, sell, resell, publicly publish, upload, commercially exploit, reproduce, give to another coach for duplication or reuse, or use Company Materials to create a competing coaching product or service.
16. Client Content
Clients may voluntarily provide photographs, videos, messages, training logs, written feedback, progress information, or other materials in connection with the Services.
The Client represents that the Client has the necessary rights to provide such content.
The Company may use Client Content as reasonably necessary to provide, administer, document, and improve the Services.
17. Recording of Calls
Barrett Calisthenics may record sales, onboarding, coaching, or check-in calls for legitimate business purposes such as coaching documentation, quality assurance, training, record keeping, reviewing prior discussions, resolving disputes, and protecting the rights of the Company or Client.
Where applicable law requires notice or consent, the Company will provide the required notice or obtain the required consent.
Internal recording consent does not automatically authorize public posting. Public marketing use is addressed through the separate Media & Testimonial Authorization.
18. Community and Communication Platforms
The Company may provide access to a private client community, Discord server, applicat
19. Confidentiality
Clients agree not to intentionally disclose another Client's private information, private messages, progress information, photographs, videos, or other confidential information obtained through a private coaching or community setting, except as required by law or otherwise lawfully authorized.
20. Testimonials and Marketing
Barrett Calisthenics may display truthful Client testimonials, results, transformations, or other marketing materials only to the extent authorized by the Client through the applicable Media and Testimonial Authorization or another valid written authorization.
The Company will not knowingly edit an authorized testimonial in a manner that materially changes its meaning.
21. Third-Party Services
The Company may rely on third-party services such as payment processors, coaching applications, scheduling services, communication platforms, video-conferencing services, cloud-storage providers, website providers, and other technology platforms.
Clients may also be subject to the third party's own terms and privacy policies.
The Company is not responsible for outages, errors, policy changes, account restrictions, or other events caused by third-party services, except to the extent liability cannot lawfully be excluded.
22. Privacy
Personal information is handled as described in the Barrett Calisthenics Privacy Policy , which is incorporated into these Terms by reference.
23. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided on an "as available" basis.
The Company does not warrant that the Services will produce a particular result, that every exercise or recommendation will be appropriate for every Client, that Services will be uninterrupted or error-free, or that third-party platforms will always be available.
24. Limitation of Liability
To the maximum extent permitted by applicable law, Barrett Calisthenics LLC, its owner, coach, contractors, and representatives will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, lost profits, lost opportunities, or other consequential losses arising from or related to the Services.
To the maximum extent permitted by law, the Company's aggregate liability arising from or related to the Services will not exceed the amount actually paid by the Client to Barrett Calisthenics for the specific Services giving rise to the claim.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
25. Indemnification
To the maximum extent permitted by law, the Client agrees to defend, indemnify, and hold harmless Barrett Calisthenics LLC and its owner, coach, contractors, and representatives from third-party claims, losses, liabilities, damages, costs, and reasonable expenses arising from the Client's material breach of these Terms, unauthorized use or distribution of Company Materials, unlawful conduct, fraudulent conduct, or violation of another person's rights.
This provision does not require the Client to indemnify the Company for the Company's own conduct to the extent such indemnification would not be permitted by applicable law.
26. Dispute Resolution
The parties will first attempt in good faith to resolve disputes by contacting each other and discussing the matter.
A Client should contact [email protected] .
The parties will attempt to resolve the dispute informally for at least 30 days after written notice, unless a different period is required by applicable law.
To the extent legally permitted, disputes that cannot be resolved informally will be resolved through binding arbitration in accordance with applicable arbitration law and the rules of the arbitration provider selected by the Company or otherwise agreed by the parties.
Arbitration may be conducted remotely unless the arbitrator determines otherwise.
Nothing in this section prevents either party from bringing a claim in a court that cannot legally be required to proceed through arbitration, including a qualifying small-claims action where permitted.
Any class-action waiver or other limitation on the manner of bringing claims applies only to the maximum extent permitted by applicable law.
27. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles, except to the extent federal law or another mandatory applicable law governs a particular issue.
28. Electronic Records and Acceptance
The Company may conduct transactions electronically.
Electronic records, electronic signatures, checkbox acceptance, electronic communications, invoices, receipts, and digitally stored transaction records may be used to establish the terms of the transaction.
Checking an agreement box, clicking an acceptance or purchase button, or otherwise completing the electronic purchase process after being presented with these Terms constitutes electronic acceptance of these Terms.
29. Entire Agreement
These Terms, together with the applicable Purchase Details, invoice, checkout information, and any written terms expressly incorporated into the transaction, constitute the agreement between the Client and Barrett Calisthenics regarding the Services.
30. Severability
If a provision is found invalid, unlawful, or unenforceable, it will be modified or limited to the minimum extent necessary to make it enforceable where permitted. If it cannot be made enforceable, it will be severed to the extent necessary and the remaining Terms will continue in effect.
31. No Waiver
Failure by Barrett Calisthenics to enforce a provision does not constitute a waiver of the Company's right to enforce that provision later.
32. Changes to These Terms
The version of these Terms presented to and accepted by the Client at the time of purchase governs that purchase, except where a later change is required by law or expressly agreed by the parties.
